Terms and Conditions

Standard subscription terms for customers, multiple companies, custom domains, customer-owned database options, billing, acceptable use, security, storage, and service responsibilities.

1. Agreement to Terms

These Terms and Conditions govern access to and use of KORE1st (KEY OPERATIONS & RESOURCE ENGINE), a subscription-based business management platform for business operations, CRM, inventory, HRMS, approvals, notifications, reports, and related services. By creating an account, subscribing, accessing, or using the platform, you agree to these Terms.

If you use the platform on behalf of a company, business, or other organization, you represent that you have authority to bind that organization. The organization will be treated as the subscribing customer and account owner.

2. Subscription and Company Structure

KORE1st is offered on a subscription basis. One business subscription may manage one or more companies depending on the active plan, configuration, limits, and commercial agreement.

  • The account owner is responsible for company setup, users, roles, permissions, data entry, and operational decisions inside the subscribed workspace.
  • Plan limits may apply to companies, users, storage, integrations, modules, API usage, support level, and custom infrastructure options. Unless stated otherwise in the subscription order, each subscriber receives 5GB included storage for file uploads.
  • Additional storage may be available for extra charges, or the customer may request approved customer-managed cloud storage configuration.
  • Subscription access may be suspended, limited, downgraded, or terminated for non-payment, misuse, security risk, legal requirement, or breach of these Terms.

3. Custom Domain Mapping

Eligible customers may request mapping of their own domain or subdomain to the platform. Domain mapping is subject to technical approval, DNS verification, SSL/TLS readiness, security checks, and subscription plan eligibility.

  • The customer is responsible for owning or controlling the domain, maintaining DNS records, avoiding trademark violations, and ensuring domain renewal.
  • KORE1st may refuse, pause, or remove a mapped domain if it creates a security risk, phishing risk, legal issue, brand confusion, or service instability.
  • SSL certificate setup and renewal may be handled by KORE1st, the customer, or a third-party provider depending on the selected deployment model.
  • Custom domain mapping does not include source code delivery, source code access, repository access, build access, or ownership transfer of the platform.

4. Customer-Owned Database Option

Eligible customers may use an approved customer-owned or customer-managed database environment. This option is intended for businesses that need additional control over database hosting, data residency, compliance, backup, or internal infrastructure policies.

  • The customer is responsible for database availability, network access, credentials, backup strategy, restore testing, encryption, security patches, disaster recovery, and lawful use of stored data.
  • KORE1st may need to store connection metadata, credentials, or access tokens in a protected manner to deliver the service.
  • Service performance, uptime, and feature availability may depend on the customer database environment. Issues caused by customer-managed infrastructure may not be covered by standard uptime commitments.
  • KORE1st may decline or disconnect a database environment that is insecure, unstable, incompatible, or harmful to the platform.
  • Using a customer-owned database gives the customer control over its database environment only. It does not grant source code access, code ownership, deployment scripts, or rights to copy, self-host, modify, resell, or redistribute the KORE1st platform.

5. File Storage, Own Cloud Storage, and Media Annotation

KORE1st may provide included file storage for customer uploads. Unless separately agreed, the included storage allowance is 5GB per subscriber. Storage usage may include documents, images, videos, attachments, generated files, exports, annotations, and related media metadata.

  • If the customer needs more than the included storage allowance, additional storage may be provided for extra charges or under a separate commercial agreement.
  • Eligible customers may request customer-managed cloud storage using supported providers such as Amazon S3, Azure Blob, DigitalOcean Spaces, Wasabi, Cloudflare R2, MinIO, or S3-compatible storage.
  • Customer-managed cloud storage requires correct credentials, bucket/container policy, CORS configuration, region selection, network access, backup strategy, retention policy, access control, and security review.
  • When customer-managed storage is used, the customer is responsible for provider charges, availability, credentials, lifecycle rules, deletion policies, lawful use, backup, restore, and security of that storage environment.
  • The platform may support image and video annotation. The customer is responsible for the legality, accuracy, sensitivity, permissions, retention, and sharing of uploaded media and annotation content.
  • Using customer-managed storage or media annotation features does not grant source code access, code ownership, deployment scripts, or rights to copy, self-host, modify, resell, or redistribute the KORE1st platform.

6. Account Security and User Responsibilities

You are responsible for maintaining the confidentiality of login credentials, enforcing appropriate user permissions, reviewing user access, and ensuring that users comply with these Terms.

  • You must provide accurate registration, billing, company, and contact information.
  • You must promptly notify us of unauthorized access, suspected breach, credential leakage, or misuse.
  • You must not attempt to bypass authentication, permissions, subscription limits, rate limits, or security controls.

7. Acceptable Use

You may use the platform only for lawful business purposes. You must not use KORE1st to host, transmit, process, or support illegal, harmful, infringing, fraudulent, abusive, defamatory, obscene, malicious, or unauthorized content or activity.

You must not upload malware, perform scanning or attacks, overload the service, reverse engineer restricted components, resell unauthorized access, or use the service to violate the rights of any person or business.

8. Customer Data and Ownership

As between you and KORE1st, you retain ownership of business data, company data, customer data, files, records, templates, reports, and other material submitted into your subscribed workspace. You grant KORE1st the limited rights necessary to host, process, transmit, secure, back up, support, and improve the service.

You are responsible for obtaining lawful rights, notices, permissions, and consents for data that you upload or process through the platform.

9. Fees, Billing, Renewals, and Taxes

Subscription fees, setup charges, add-ons, infrastructure charges, support fees, and taxes are governed by the applicable order, invoice, plan, or commercial agreement. Unless stated otherwise, fees are non-refundable after activation or renewal.

Failure to pay may result in reminders, restricted access, suspension, data export limitations, or termination. Taxes, payment gateway charges, and bank charges are the customer's responsibility unless explicitly included.

10. Service Availability, Support, and Changes

We aim to provide a reliable service, but availability can be affected by maintenance, upgrades, internet providers, third-party services, customer-owned infrastructure, force majeure events, or security incidents. Features may be updated, improved, replaced, limited, or discontinued with reasonable care.

Support scope and response times depend on the active plan. Custom domain, own database, own cloud storage, storage expansion, media annotation workflows, migration, backup, integration, and compliance support may require a separate plan or statement of work.

11. Third-Party Services

The platform may integrate with email providers, payment gateways, cloud storage, maps, messaging, analytics, hosting, domain, SSL, or other third-party services. Your use of third-party services may be governed by their separate terms, privacy policies, limits, charges, and availability.

12. Confidentiality and Security

Each party must protect confidential information received from the other party using reasonable care. KORE1st uses administrative, technical, and organizational safeguards designed to protect the platform, but no system can be guaranteed to be completely secure.

13. Intellectual Property

KORE1st, the platform, software, workflows, designs, documentation, templates, and related intellectual property are owned by the provider or its licensors. These Terms do not transfer any ownership rights to you except the limited right to use the service during an active subscription.

The service is provided as managed subscription software. Source code, backend code, frontend code, mobile application code, repositories, deployment scripts, build files, architecture secrets, and internal operational tooling will not be shared, sold, transferred, licensed for self-hosting, or handed over to the customer unless a separate written source-code agreement is signed by the provider.

Custom domain mapping, a customer-owned database, customer-managed cloud storage, media annotation, dedicated infrastructure, integration work, migration support, storage expansion, or paid subscription access does not create any right to receive, inspect, copy, reverse engineer, modify, sublicense, resell, or redistribute the source code or platform software.

14. Privacy and Data Protection

Your use of the platform is also governed by the Privacy Policy. Where applicable, the parties will cooperate to comply with applicable data protection laws, including Indian digital personal data protection requirements and other laws that apply to your business operations.

15. Suspension and Termination

We may suspend or terminate access if there is non-payment, legal risk, security risk, misuse, breach of these Terms, or a requirement from law enforcement, court, regulator, hosting provider, or infrastructure provider. On termination, access to the platform may stop, but outstanding fees and surviving obligations remain due.

16. Disclaimers and Limitation of Liability

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that the service will be uninterrupted, error-free, or suitable for every specific business requirement.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, or business opportunity. Our aggregate liability will not exceed the fees paid by the customer for the affected service during the three months before the event giving rise to the claim, unless a mandatory law requires otherwise.

17. Indemnity

You agree to defend and indemnify the provider, its affiliates, officers, employees, and partners from claims arising from your data, your users, your domain, your database environment, your cloud storage environment, uploaded files, image/video annotations, your breach of these Terms, your violation of law, or your infringement of third-party rights.

18. Governing Law and Disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of India. Courts and competent forums in India will have jurisdiction, subject to any mandatory dispute resolution process agreed between the parties.

19. Changes to These Terms

We may update these Terms to reflect product, legal, security, subscription, or operational changes. Material updates will be posted on this page or communicated through reasonable channels. Continued use after an update means you accept the updated Terms.
